Software License

PROPRIETARY AND CONFIDENTIAL

This software and its documentation are the confidential and proprietary information of High-X. You shall not disclose such Confidential Information and shall use it only in accordance with the terms of the license agreement you entered into with High-X.

1. PERMITTED USE

Subject to the terms and conditions of a valid commercial license agreement, High-X grants to you a non-exclusive, non-transferable, limited license to use the software solely for your internal business operations.

2. RESTRICTIONS

You may not:

(a) copy, modify, create derivative works of, translate, reverse engineer, decompile, disassemble, or extract source code from the software;
(b) sell, rent, lease, sub-license, distribute, host, or otherwise transfer the software to any third party;
(c) remove, alter, or obscure any proprietary notices or labels on the software;
(d) use the software to create a competing product or service.

3. OWNERSHIP

High-X retains all right, title, and interest in and to the software, including all intellectual property rights therein. No rights are granted to you hereunder other than as expressly set forth herein.

4. DISCLAIMER OF WARRANTY

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
